Terms of Service

Effective May 28, 2026.

These Terms of Service (the "Terms") govern your access to and use of the websites, applications, and services provided by Stele AI LLC, a California limited liability company doing business as Stele ("Stele", "we", "us", or "our"), including stele-ai.dev, app.stele-ai.dev, and the hosted services available through them (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Stele provides a shared knowledge-and-task ledger for software projects, including a web application, an application programming interface, a command-line interface, and integrations with third-party agentic coding environments. The Service is designed to be used by software engineers and their AI coding agents to record decisions, claim tasks, and share context across sessions.

The Service consists of (a) a hosted component operated by Stele, and (b) the Stele client components (including a command-line interface, a Claude Code plugin, and the web SPA) that you install or use locally to interact with the hosted component. Both are covered by these Terms.

2. Beta Service

The Service is currently provided in a pre-release or "beta" state. You acknowledge that the Service may be incomplete, contain bugs, lose data, or be modified or discontinued at any time without notice. Stele makes no commitments regarding uptime, data retention, feature availability, or backward compatibility during the beta period.

3. Eligibility

To use the Service, you must be at least 16 years of age, or the age of majority in your jurisdiction, whichever is greater. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes both you personally and that organization.

4. Accounts and Authentication

You may register for an account using a supported third-party identity provider (currently GitHub and Google). You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us promptly at security@stele-ai.dev of any unauthorized access or suspected security incident affecting your account.

5. Your Content

"Your Content" means any data, text, code, decisions, knowledge nodes, tasks, comments, or other materials that you or anyone acting on your behalf (including AI coding agents authenticated with your credentials) submits to or generates within the Service.

You retain all rights in Your Content. By submitting Your Content to the Service, you grant Stele a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, modify, display, and create derivative works of Your Content solely as necessary to operate, secure, troubleshoot, and improve the Service for you and the team members you authorize.

You represent and warrant that you have all rights necessary to submit Your Content to the Service and to grant the license above, and that Your Content does not violate any applicable law or any third party's rights.

6. Acceptable Use

You agree not to use the Service to:

  • violate any applicable law, regulation, or third party's rights;
  • upload, store, or transmit any content that is unlawful, defamatory, harassing, infringing, or that contains malware;
  • attempt to gain unauthorized access to any account, system, or data, or otherwise circumvent the Service's security measures;
  • reverse engineer, decompile, or extract the source code of the hosted Service (except where such a restriction is prohibited by law);
  • interfere with or disrupt the Service, including by sending automated traffic in excess of any documented or reasonable rate limit;
  • use the Service to develop a competing service by systematically extracting features, designs, or other materials;
  • use the Service to train a machine-learning model on data of any other Stele user; or
  • misrepresent your affiliation with any person or organization.

Our Acceptable Use Policy provides additional detail. We may refuse, suspend, or terminate any use of the Service that we reasonably believe violates this section or applicable law, with or without notice.

7. Fees and Billing

During the beta period, the Service is provided free of charge. We reserve the right to introduce paid plans in the future. If you elect to use a paid plan, additional billing terms (including pricing, billing cycle, refund eligibility, and tax handling) will be presented to you at the point of purchase, and those terms will be incorporated into these Terms by reference. Payments are processed by Stripe, Inc., subject to Stripe's own terms.

8. Third-Party Services

The Service relies on third-party providers to operate, including without limitation database and authentication hosting (Supabase), web application hosting (Vercel), and authentication identity providers (GitHub and Google). Your use of the Service is also subject to those providers' terms with respect to data they process on our behalf. We are not responsible for the acts or omissions of third-party providers, except to the extent expressly required by applicable law.

9. Third-Party Open-Source Software

Stele is a proprietary service. The Service — including the Stele command-line interface, the Claude Code plugin, and the web SPA — is not itself distributed under an open-source license, except where we expressly say so for a specific component.

The Service does, however, incorporate third-party open-source software. A complete list of those components and their licenses is available at stele-ai.dev/licenses. Each such component is governed by the license accompanying its source, and nothing in these Terms restricts your rights under those licenses with respect to those components.

10. Our Intellectual Property

The Service, including all software, documentation, designs, trademarks, and other materials we make available (other than Your Content and the third-party open-source components referenced in Section 9), is owned by Stele or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you under these Terms, no rights are granted to you.

11. Feedback

If you provide suggestions, ideas, or other feedback regarding the Service, you grant Stele a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without obligation to you.

12. Privacy

Our handling of personal data is described in our Privacy Policy. By using the Service you acknowledge that you have read the Privacy Policy.

13. Suspension and Termination

You may stop using the Service at any time and may request deletion of your account by emailing support@stele-ai.dev. We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, or if we believe such action is necessary to protect the Service, other users, or third parties. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive (including Sections 5, 6, 11, 14, 15, 16, and 17) will survive.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. STELE DOES NOT WARRANT THAT YOUR CONTENT WILL BE PRESERVED WITHOUT LOSS OR CORRUPTION. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF YOUR CONTENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STELE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, AND EVEN IF STELE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STELE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID STELE FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

16. Indemnification

You agree to indemnify, defend, and hold harmless Stele and its officers, directors, employees, and agents from and against any claim, demand, loss, or damage (including reasonable attorneys' fees) arising out of or related to (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms or any applicable law.

17. Governing Law and Disputes

These Terms will be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction of those courts.

18. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on stele-ai.dev with a revised effective date and, where reasonably practical, by emailing the address associated with your account. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes.

19. Miscellaneous

These Terms (together with the Privacy Policy and any other agreement expressly incorporated by reference) are the entire agreement between you and Stele regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets. Headings are for convenience only and do not affect interpretation.
